1. Definitions & who we are
"MoxSuite", "we", "us" and "our" mean EaseHawk Technologies Private Limited, a private limited company incorporated in India (CIN: U62011DL2024PTC427769), with its registered office in Delhi, India. "You" means the individual or entity accessing the website or requesting access to the products. "Website" means www.moxsuite.com, www.moxcrm.com, www.moxfinance.com and their subdomains. "Products" means the software products marketed under the MoxSuite name, including MoxSend, MoxWarm, MoxCheck, MoxRev, MoxCampus and products identified as in the pipeline. "Service" means the Website together with any Product made available to you. "Order Form" means a separate written or electronic ordering document referencing these Terms.
2. Acceptance & eligibility
By accessing the Website, submitting an early-access request, or using any Product, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, do not use the Service.
- You must be at least 18 years of age and capable of forming a binding contract.
- If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
- The Products are business tools intended for business users; they are not directed to consumers or children.
3. The Service & product status
MoxSuite is a platform of business software products built on a shared data layer. Product status is displayed honestly on the Website:
- LIVE means the product is generally available for sign-up or onboarding today.
- IN PIPELINE means the product is under active development and not yet available; descriptions of pipeline products are indicative only.
- Roadmap statements (including references to a 35-product roadmap and the ONE DATA LAYER architecture) describe our ambition and current engineering direction. They are forward-looking, may change without notice, and are not a commitment to deliver any feature, product or integration by any date.
Use of any LIVE Product may be subject to additional product-specific terms, an Order Form, and (for business customers) a Data Processing Agreement, which will prevail over these Terms to the extent of any conflict.
4. Early access & waitlist
- Submitting the early-access form places you on a waitlist; it does not create an entitlement to access, pricing, or a contract for services.
- Early-access and beta features are provided "as is", may be modified, suspended or withdrawn at any time, and may contain defects. They are excluded from any service levels or support commitments.
- References to "founding member" terms or pricing are invitations to discuss and are only binding when set out in a signed Order Form.
- You may ask us to remove you from the waitlist at any time via hello@moxsuite.com.
5. Accounts & security
- Account credentials are personal to you or your organisation. You are responsible for maintaining their confidentiality and for all activities under your account.
- You must notify us promptly at hello@moxsuite.com of any suspected unauthorised use of your account.
- You must provide accurate registration information and keep it current. We may verify business details (such as company domain ownership) before granting access to sending-related Products.
6. Acceptable use
You must not, and must not permit any third party to:
- use the Service in violation of any applicable law or regulation, or for any fraudulent, deceptive or harmful purpose;
- upload or transmit content that is unlawful, infringing, defamatory, or that contains malware or malicious code;
- probe, scan, or test the vulnerability of the Service, breach or circumvent any security or authentication measures, or access non-public areas of the systems;
- reverse engineer, decompile, disassemble or otherwise attempt to derive source code from the Products, except to the extent such restriction is prohibited by law;
- resell, sublicense, rent, lease or provide the Service to third parties on a service-bureau basis without a signed reseller agreement;
- use automated means to scrape the Website beyond what robots.txt permits, or use the Service to build a competing product;
- exceed reasonable usage or rate limits that we publish or notify from time to time;
- misrepresent your identity or affiliation, or impersonate any person or entity, including in email headers or sending identities.
7. Anti-spam & sending obligations
Certain Products (including MoxSend, MoxWarm and MoxCheck) relate to email outreach and deliverability. If you use them, you additionally agree that:
- you will comply with all laws applicable to your sending, which may include (depending on where you and your recipients are located) India's Information Technology Act and rules, the U.S. CAN-SPAM Act, Canada's CASL, the EU/UK ePrivacy and GDPR regimes, and the electronic-communications rules of the UAE and Saudi Arabia;
- you have a lawful basis to contact every recipient on lists you upload or target, and you will honour opt-outs promptly and maintain suppression lists;
- you will not send unsolicited bulk email, deceptive subject lines, or forged headers, and you will include any sender identification and unsubscribe mechanisms required by applicable law;
- you are solely responsible for the content of your messages and the provenance of your contact lists; and
- we may throttle, suspend or terminate sending features immediately where we reasonably believe your use threatens deliverability infrastructure, violates this Section, or triggers complaints from mailbox providers.
8. Customer data & your responsibilities
- As between the parties, you retain all rights in the data you submit to the Service ("Customer Data"). You grant us a non-exclusive, worldwide licence to host, process, transmit and display Customer Data solely to provide and improve the Service, consistent with our Privacy Policy and any applicable DPA.
- You are responsible for the accuracy, quality and legality of Customer Data and for having all rights and consents needed for us to process it.
- You will not submit special categories of personal data, children's data, or payment-card primary account numbers to the Service unless a Product is expressly documented for that purpose.
- We may use aggregated and anonymised usage statistics that do not identify you or any individual to operate and improve the platform.
9. Intellectual property
- The Service, including the MoxSuite name, star device, product names, taglines, software, interfaces, documentation and Website content, is owned by EaseHawk Technologies Private Limited or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted, no licence is granted to you.
- You may not use our names, logos or taglines without prior written consent, except for factual references.
- If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation.
- Trade marks referenced for third-party products remain the property of their owners.
10. Third-party services
The Website loads fonts from Google Fonts, and the Products may interoperate with third-party services you connect (for example, your email or workspace provider). Third-party services are governed by their own terms and privacy policies; we are not responsible for them. Links from the Website do not imply endorsement.
11. Fees, billing & taxes
- Access to the Website and the waitlist is free. Paid features of LIVE Products are charged as set out in the applicable Order Form or published pricing at the time of purchase.
- Unless stated otherwise, fees are exclusive of taxes; you are responsible for GST, VAT, withholding and similar taxes, other than taxes on our income.
- Where subscriptions auto-renew, we will state the renewal term and cancellation window at the point of sale and in the Order Form.
12. Confidentiality
Each party may receive non-public information of the other that is marked confidential or that reasonably should be understood as confidential ("Confidential Information"). The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisers under confidentiality obligations, or where required by law with (where lawful) prior notice. Confidential Information excludes information that is public without breach, independently developed, or rightfully received from a third party.
13. Warranties & disclaimers
- We warrant that we will provide the Service with reasonable skill and care.
- EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
- No deliverability guarantee. Email placement is controlled by mailbox providers and recipient systems. We do not warrant that any message will reach any inbox, that verification results are error-free, that warm-up will achieve any particular sender reputation, or that AI-generated outputs, scores or predictions will be accurate. AI predictions are expressed in confidence bands and are decision support, not advice.
- We do not warrant that the Service will be uninterrupted or error-free, or that defects will be corrected.
14. Limitation of liability
- NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
- OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (a) THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, AND (b) INR 10,000.
- Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited by law. Breach of Section 7 (Anti-spam) and your indemnity obligations are excluded from your liability cap.
15. Indemnity
You will defend and indemnify EaseHawk Technologies Private Limited and its officers, employees and agents against third-party claims, and resulting damages, penalties and reasonable costs, arising from (a) Customer Data, (b) your sending activity, contact lists or breach of Section 7, (c) your breach of these Terms, or (d) your violation of law. We will notify you promptly of any claim and allow you to control the defence, provided you do not settle in a way that imposes obligations on us without our consent.
16. Suspension & termination
- You may stop using the Website at any time and may request deletion of your waitlist data as described in the Privacy Policy.
- We may suspend or terminate access immediately where we reasonably believe you have materially breached these Terms (including Sections 6–8), where required by law, or to protect the Service or other users; where practicable we will give notice and an opportunity to cure.
- Upon termination of a paid Product, your right to use it ends; we will make Customer Data available for export for at least 30 days after termination, then delete it in the ordinary course, except as retention is required by law.
- Sections that by their nature should survive (including 8–9 and 12–18) survive termination.
17. Governing law & dispute resolution
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to the arbitration option below, the courts at New Delhi, India have exclusive jurisdiction. Nothing prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
18. General provisions
- Entire agreement. These Terms, the policies referenced in them and any Order Form are the entire agreement and supersede prior discussions.
- Assignment. You may not assign these Terms without our written consent; we may assign to an affiliate or in connection with a merger, acquisition or sale of assets.
- Severability & waiver. If a provision is unenforceable, the remainder stays in effect; a failure to enforce is not a waiver.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- No third-party beneficiaries; independent contractors.
- Export & sanctions. You represent you are not subject to sanctions that would prohibit us from providing the Service, and you will not use it in violation of export-control or sanctions laws.
19. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced on the Website with an updated "Last updated" date and, for account holders of LIVE Products, by email or in-product notice at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.
